Terms and Conditions for the Travelport Academy website

These terms and conditions are issued by Travelport International Limited with registered number 01254977 and VAT number GB 290 5367 46 of Axis One, Axis Park, 10 Hurricane Way, Langley, Berkshire, SL3 8AG, England and its related entities ("Travelport").

These terms and conditions apply to all Training Services made available by Travelport through the Travelport Academy website.

  1. Definitions:

    "Agreement" means this Agreement as may be amended by Travelport from time to time;

    "Control" means in relation to a body corporate or undertaking, the power of a person to secure that its affairs are conducted in accordance with the wishes of that person

    1. by means of the holding of shares or the possession of voting power in or in relation to that or any other body corporate or undertaking; or
    2. by virtue of any powers conferred by the articles of association or any other document regulating the affairs of or interests in that or any other body corporate or undertaking,

    and in relation to a partnership, means the right to a share of more than one-half of the assets, or of more than one-half of the income, of the partnership and the terms "Controlling", "Controlled by", and "under common Control with" shall be construed accordingly.

    "Intellectual Property" means all copyright, trade marks, design rights, patents and other intellectual property rights (registered and unregistered) and all content located on www.travelportacademy.com;

    "Software Products" means the software programs, technology and associated products and services as may be provided from time to time by Travelport;

    "Terms" mean the terms and conditions as set out in this agreement;

    "Travelport Academy" means the Training Services provided by Travelport at www.travelportacademy.com;

    "Travelport Agility" means the set of products and functionality for the Travelport GDS that may be supplied to subscribers of Travelport or a Travelport Group Company;

    "Travelport GDS" means a global distribution system operated by or for a Travelport Group Company whether accessed via Travelport Agility or otherwise;

    "Travelport Group Company" means Travelport and any person directly or indirectly Controlling, under common Control with or Controlled by Travelport and "Travelport Group" will be construed accordingly;

    "Training Services" means all services, associated products and training provided by Travelport Academy to you from time to time; and

    "VAT" means value added tax as provided for in the Value Added Tax Act 1994 and legislation supplemental to that Act, or any other system of value added tax deriving from Directive 2006/112/EC applied in any member state of the European Union and any other similar turnover, sales or purchase tax or duty levied by any other jurisdiction whether central, regional or local.

  2. Travelport’s Contract with you

    1. These terms and conditions apply to the Training Services and Travelport Academy. By registering for Travelport Academy or by ordering the Training Services you agree to these terms and conditions including changes that may be made to them. If you do not accept these terms you must not attempt to access Travelport Academy.
    2. You acknowledge that these terms apply to you, and in the event that you are a company you shall procure that all of your employees which access Travelport Academy accept these terms.
    3. You agree and acknowledge that any training which may be provided by Travelport shall not extend to the provision of basic computer literacy and skills training and you shall ensure that you (or your employees where applicable) are adequately equipped with what is reasonably considered basic computer literacy and skills.
    4. You warrant and undertake that you shall not train any third party in the use of the Travelport GDS or the Software Products (or any new releases thereof) without the prior written consent of Travelport.
  3. Intellectual Property

    1. You acknowledge that the Intellectual Property in the Travelport Academy course materials made available through any training course is owned or licensed by Travelport and copying, storing in any medium (including on any website), distributing, transmitting, re-transmititng, showing in public, adapting or otherwise using the materials without Travelport’s permission is prohibited.
    2. You agree that you will not sell, rent, lease or otherwise provide any Travelport Academy Intellectual Property or course materials to any third parties or give access to Travelport Academy course materials to any third parties.
    3. You do not acquire any right, title or interest in the Travelport Academy website or any element of it. Other than your right to use the Travelport Academy course materials as described in these terms, the website and all its component parts are Copyright © 2012 Travelport LP or its licensors. All such rights are reserved, and all moral rights are asserted and reserved.
    4. You may not link to the Travelport Academy website (including links to any materials provided on the website), nor frame it, without our express permission.
  4. Warranties and Representations

    1. Travelport does not make any representations or warranties regarding the benefit or otherwise which a course attendee may obtain from attendance on a training course. In particular it makes no representations regarding that attendee’s competence or ability to perform their employment more effectively as a result of attending a training course.
    2. Travelport does not make any representations or warranties regarding a course attendees’ ability to gain employment as a result of attendance on a Travelport training course.
    3. While Travelport courses are continually amended to reflect changes in technology, Travelport does not make any representation that the content of a training course is current.
    4. We are committed to keeping the Travelport Academy website safe for its users. In order to do so, we need your help. When registering for or using the website, you represent and agree to the following:

      1. information which you provide when using the Travelport Academy website or placing an order for any of the training courses registration must be true, accurate and up to date;
      2. you must not use the Travelport Academy website, any content available through the website or any other services provided by Travelport in connection with a commercial purpose without the clear written agreement of Travelport;
      3. you must not use the Travelport Academy website to send unrequested spam emails or any other unauthorised communications, whether or not for commercial purposes;
      4. you must not collect content or personal information about users using any automated or electronic means without the express written agreement of Travelport;
      5. you must not upload any malicious software, corrupted data or viruses to the Travelport Academy website; and
      6. you must not attempt to hack into the Travelport Academy website or other users’ profiles, misuse the website in other ways or carry out any actions which are technically harmful to the other users, the website or Travelport.
  5. Registration process

    1. You must complete the following registration process in order to sign up for and order the relevant Training Services:

      1. you must first select the relevant Training Services that you wish to order from the Travelport Academy website: www.travelportacademy.com. Once selected you need to add such Training Services to the basket and proceed to check out on the website;
      2. On the check out page of the website, you must then input your member and contact details including your password information and after you read the terms and conditions on that web page, accept the same if you agree to them;
      3. At any point during steps A and B above, you will have the ability to go “back” to correct any information that you have previously entered;
      4. Once you have submitted all of your details, you will be returned to the sign in page where you will use your email and password (that you created) to continue to the PayPal payment screen;
      5. You will then be taken to the PayPal secure website where you will need to enter in your PayPal login details and then pay for the Training Services that you have selected;
      6. Once you have been confirmed as having paid for the relevant Training Services, Travelport will confirm the same by email and provide you with the relevant information to access the Training Services that you have selected.
  6. User account, password and security

    1. You will be required to complete the registration process in accordance with clause 5 above by providing certain information (name, email address, address and telephone number) and registering a password. You are responsible for maintaining the confidentiality of your username and password. Travelport is entitled to assume that any person using the site under your username and password is you or someone doing so with your permission. You are responsible for any use of the site under your username and password, including all financial charges.
    2. If you believe someone has accessed the site or ordered Training Services using your username and password without your authorisation you must immediately notify us of this or any other breach of security. We recommend you change your password regularly.
  7. Charges

    1. By placing an order for any of the training courses you agree to pay the appropriate charges applicable for the training courses selected.

      1. In the case of private individuals, such individuals must make payment in full before attendance on a Travelport training course;
      2. In the case of a company, Travelport shall issue its invoice once a place or places have been confirmed on a Travelport training course or any other Travelport Academy product.
    2. Failure to complete the training (or any part of it) will not entitle you to receive a discount or refund of any kind.
  8. Taxes

    1. All amounts payable are inclusive of VAT or other similar applicable taxes.
    2. All amounts payable to Travelport shall be paid free and clear of all deductions and withholdings of any kind, save only as may be required by law. Should you be required by law to make a deduction or withholding from any amount payable to Travelport, you shall provide such evidence of the relevant deduction or withholding as Travelport may reasonably require and shall pay to Travelport such sum as will, after the deduction or withholding has been made, leave Travelport with the same amount as Travelport would have received had no deduction or withholding been made.
  9. Acceptance

    1. Travelport reserves the right to refuse to allow any individual to register and/or order any of the Training Services.
  10. Cancellation/Right of Withdrawal

    1. You have the right to withdraw from this contract within 14 days without giving any reason.
    2. The withdrawal period will expire after 14 days from the day on which you confirm your order.
    3. To exercise the right of withdrawal, you must inform Travelport Academy at academy.info@travelport.com of your decision to withdraw from this contract by an unequivocal statement (e.g. in an e-mail) or you may use the withdrawal form: withdrawal form.
    4. To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
  11. Effects of withdrawal

    1. If you withdraw from this contract in accordance with clause 10, subject to the conditions in this clause 11, we shall reimburse to you all payments received from you, without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.
    2. Where you have commenced a Travelport Academy course within 14 calendar days of placing an order but subsequently wish to amend or cancel that order, Travelport will provide a pro-rata refund of your payment calculated according to the amount of that particular course’s materials and services which you have accessed and/or used prior to cancellation or amendment.
    3. Should you fail to withdraw within the 14 day period, you will be bound by your contract with Travelport and you will therefore be required to pay all fees and expenses connected with the contract.
  12. Privacy and Data Protection

    1. As a user of the Training Services, you agree and consent that Travelport may use your contact information and non-confidential data you have provided through the Travelport Academy website in order to (1) set-up your account (2) to provide you with marketing material and (3) to improve the Travelport Academy product and user experience.     2. Whilst we make every effort to ensure that your information is secure on our system, the transmission of information via the internet is not 100% secure and we cannot guarantee the security of your data in transmission to the Travelport Academy website. As a result, the security of any information you transmit to us is transmitted at your own risk. Once we have received your information, we will use procedures and security features to prevent unauthorised access to the website.
    3. Where payment is submitted via our website ‘checkout’ pages, the processing of credit and debit cards is undertaken by Paypal on behalf of Travelport, through a secure hosted connection. No card data is stored by Travelport for these purposes, nor does it share customer details with any third parties.     4. We have the right to disclose your identity and registration details to any third party who is claiming that you have violated their intellectual property rights, or their right to privacy. We will also have to disclose your identity and registration details where we have a legal obligation to do so (for instance in connection with legal proceedings).
  13. Cookies

    1. A cookie is a small file that is downloaded onto a device when the user of that device accesses a website. Cookies allow a website to recognise a user’s device.
    2. Travelport uses cookies in order to make it easier to use the Travelport Academy website pages and to help us to analyse the profile of visitors and users in order to improve the Travelport Academy experience. We will not use cookies to collect personally identifiable information about you. However, if you wish to restrict or block the cookies which are set by Travelport Academy, or indeed any other website, you can do this through your browser settings. The Help function within your browser should tell you how to do this.
    3. The Travelport Academy uses the following types of cookies:

      1. Session cookies: these are used by the website to store information about user activities so users can easily move from one webpage to another. These cookies act as a sort of “bookmark” in that they track your movement from page to page of the website so that you do not have to provide the same information you have previously given on other, earlier pages of the website. These are known as “session” cookies because they only remain in the cookie file of your browser until you close the browser.
      2. Persistent cookies: these cookies are used to store user preferences in order to improve your experience of future visits to the website. For example, these cookies can remember log-in details or language preferences so that you do not have to continually re-enter these details on each visit to the Website. These cookies will remain in the cookie file of your browser after you have closed your browser, and will be activated again when you next visit the website. However, following 90 days of website inactivity these cookies will expire and will therefore be removed from your browser’s cookie file.
    4. You can always remove or block cookies (such as by using the settings in your browser), but it may affect your ability to use the Travelport Academy.   14. Liability

    1. Please read this section carefully, as it sets out the limitations of our liability to you

      1. Travelport shall not be liable under these terms for any loss or damage caused by us or our employees, agents or licensors in circumstances where:

        1. there is no breach of a legal duty of care owed to you by us or by any of our employees, agents or licensors;
        2. such loss or damage is not a reasonably foreseeable result of any such breach; and
        3. any increase in loss or damage results from a breach by you of any of these terms.
      2. Nothing in these terms shall have the effect of excluding or limiting either Travelport’s liability or your liability for fraud or for death or personal injury caused by Travelport’s or your negligence (as applicable).
      3. Travelport warrants that it will provide the Training Services and the Travelport Academy with reasonable skill and care and substantially as described in these terms. Travelport does not make any other promises or warranties about the Travelport Academy or the Training Services. In particular Travelport does not make any guarantee of any specific results from the use of the Travelport Academy.
  15. Notices

    1. Any notice required or authorised by this Agreement to be given by either party to the other must be in English and in writing and must be delivered by hand to Travelport at the postal address, or by email at the email address, at the bottom of this Agreement.
  16. Complaints

    1. Any complaint about a Travelport training course should be sent to: academy.info@travelport.com
  17. Force Majeure

    1. Travelport will not be liable or responsible for any failure to perform, or delay in performance of, any of its obligations under these Terms that is caused by events outside its reasonable control ("Force Majeure Event").
    2. A Force Majeure Event includes any act, event, non-occurrence, omission or accident beyond our reasonable control and includes, but is not limited to, failures in telecommunications networks or Travelport systems.
    3. Travelport’s obligations under these Terms are suspended for the period that a Force Majeure Event continues, and Travelport will extend the time to perform these obligations for the duration of that period. Travelport will take reasonable steps to bring the Force Majeure Event to a close or to find a solution by which its obligations under these Terms can be performed despite the Force Majeure Event.
  18. Suspension

    1. Travelport may suspend the provision of the Training Services at any time and for any reason, without notice to you. Travelport will co-operate with law enforcement in legal proceedings against you should you violate, or be suspected of violating, these terms and conditions.
  19. Severability

    1. If any court or competent authority decides that any of the provisions of these Terms are invalid, unlawful or unenforceable to any extent, the term will, to that extent only, be severed from the remaining terms, which will continue to be valid to the fullest extent permitted by law.
  20. Variation

  21. Assignment

    1. Travelport is entitled to assign any of its rights and obligations under these terms provided that your rights are not adversely affected. You may not assign your rights or transfer your obligations under these terms to any third party unless Travelport agrees in writing first.
  22. Governing Law

    1. All contractual and non-contractual obligations and other matters or disputes arising from or connected with these terms will be governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction to settle any dispute which might arise out of or in connection with these terms.
